Notice of Merger between Marine Access and Maruha Nichiro Retail Service

Maruha Nichiro Corporation (Maruha Nichiro) has decided to merge its consolidated subsidiaries Marine Access Corporation (Marine Access) and Maruha Nichiro Retail Service Co.,Ltd (Maruha Nichiro Retail Service).
Prior to the merger, Maruha Nichiro also reached an agreement with NIPPON ACCESS, INC (NIPPON ACCESS) for the transfer of additional shares of Marine Access from the company.

1．Background and purpose of the merger

In September 2021, Maruha Nichiro acquired 65% of the shares of Marine Access from NIPPON ACCESS. Since then, NIPPON ACCESS and Maruha Nichiro have worked together as joint shareholders of Marine Access to operate Marine Access and enhance its corporate value.
In order to pursue further synergy by making Marine Access a subsidiary, we have been discussing the integration of Marine Access and Maruha Nichiro Retail Service since March of this year and have decided to merge the two companies to maximize the effects of the merger in achieving further growth for Marine Access and deepening cooperation with the Maruha Nichiro Group.
We believe that this merger will allow us to build a more flexible structure as the Maruha Nichiro Group, and that by integrating the tuna processing business, we will be able to respond to the drastically changing market environment and provide more valuable products and even better services to our customers.

Maruha Nichiro is to acquire 35% of Marine Access shares held by NIPPON ACCESS.
As a result, Marine Access will become a wholly-owned subsidiary of Maruha Nichiro.
(*Currently, the ownership percentage of the outstanding shares of Marine Access is NIPPON ACCESS 35%, Maruha Nichiro 55%, and Maruha Nichiro Retail Service 10%, respectively.)
